Please read these Terms of Service carefully before using http://www.wisecode.ai or the WISEcode mobile applications (the “Service”) operated by WISEcode LLC.
Your access and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
DISCLAIMER
WISEcode™’s recommendations and food recall services rely on information from food makers, government entities, and other public sources. WISEcode™ may not be aware of all allergens or food recalls in your jurisdiction. The Service does not provide medical or nutritional advice and should not be relied upon as a substitute for professional consultation with a qualified healthcare provider.
ARBITRATION NOTICE
Except for specific disputes described in Section 8, you agree that disputes will be resolved by binding, individual arbitration, thereby waiving the right to a trial by jury or to participate in any class action or representative proceeding.
1. Accounts
You must provide accurate, complete, and up-to-date information when creating an account; failure can lead to termination.
You are responsible for safeguarding your password and any activities under your account.
Uploading or creating content grants WISEcode™ a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and modify such content for operating the Service.
You agree to use the Service in compliance with terms and laws, specifically prohibiting:
- Unlawful purposes
- Copying, modifying, distributing, selling, leasing
- Reverse engineering, decompiling, extracting source code
- Uploading false, misleading, infringing, defamatory, obscene, or harmful content
- Interfering with the Service’s integrity, performance, or security (e.g., viruses, malware)
You must not disclose your password to third parties and must notify WISEcode™ immediately of any security breach or unauthorized use of your account.
You agree to defend, indemnify, and hold harmless WISEcode™ and its affiliates from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from misuse or breach of these Terms.
2. Intellectual Property
The Service and its original content, features, and functionality are the exclusive property of WISEcode™ and its licensors. Trademarks and trade dress cannot be used without WISEcode™’s prior written consent.
3. Services
The Service is provided ‘as is’ and ‘as available’. WISEcode™ and its licensors do not warrant the accuracy or reliability of recommendations, AI-generated content, or interactions. Use of the Service is at your own risk. The Food Recall Alert service is based on information from government entities and other public sources.
4. Links To Other Web Sites or Applications; Liability
The Service may contain links to third-party websites, applications, or services not owned or controlled by WISEcode™.
WISEcode™ has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites.
You acknowledge and agree that WISEcode™ is not responsible or liable for any damage or loss caused by or in connection with its dietary recommendations, or reliance on content, goods, or services available on or through such third-party sites.
5. Termination
WISEcode™ may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason, including breach of the Terms.
Provisions that by their nature should survive termination (e.g., ownership, warranty disclaimers, indemnity, limitations of liability) will survive.
6. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. The venue for any dispute is New York, New York.
Failure to enforce any right or provision is not a waiver. If any provision is invalid, the remaining provisions remain in effect. These Terms constitute the entire agreement, superseding prior agreements.
7. Changes
WISEcode™ reserves the right to modify or replace these Terms at any time. For material revisions, at least 30 days’ notice will be provided.
Continued use after revisions constitutes agreement to the new terms; users who disagree should stop using the Service.
8. Disputes
8.1 Generally. Except as described in Sections 8.2 and 8.3, all disputes related to these Terms, the Service, or communications will be resolved through binding arbitration, covering claims based on contract, tort, statute, fraud, misrepresentation, or other legal theories. The arbitrator will resolve disputes regarding interpretation, applicability, or enforceability.
8.2 Exceptions. Either party can:
- (a) Bring an individual action in small claims court
- (b) Pursue enforcement through applicable federal, state, or local agencies
- (c) Seek injunctive relief in a court of law related to the arbitration
8.3 Opt-Out. You can opt out of binding arbitration within 30 days of agreeing to the Terms by emailing legal@wisecode.ai. The email must include your full legal name, the email address associated with your account, and a statement indicating your wish to opt out (“Opt-Out Notice”). Other provisions of the Terms will not be affected.
8.4 Arbitrator. The arbitration agreement is subject to the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitrator has exclusive authority to resolve disputes regarding interpretation, applicability, or enforceability.
8.5 Notice of Arbitration; Process. A party seeking arbitration must first send a written notice of the dispute to the other party via certified U.S. Mail, Federal Express (signature required), or electronic mail (if no physical address). The “Notice of Arbitration” must identify the claimant, describe the claim/dispute, and state the specific relief sought (“Demand”). Parties will make good faith efforts to resolve the claim directly within 30 days. If no agreement, arbitration commences. All proceedings are confidential unless otherwise agreed.
8.6 Arbitration Relief. The arbitrator can award any relief available in a court of competent jurisdiction. The award is final and binding, except for judicial review permitted by law or if the award includes injunctive relief (in which case that party can seek judicial review in a court not bound by the arbitrator’s conclusions). Judgment on the award may be entered in any court.
9. SMS
WISEcode™ may send text (SMS) messages, including operational, marketing, and advertising messages. Standard data and message rates apply. You can opt out by replying ‘STOP’ to any SMS message or by emailing support@wisecode.ai.
